§ 01
Acceptance of terms
By creating an account, clicking an Accept button, or calling the Humane AI API (together, “Using the Service”), you agree to these Terms of Service (“Terms”), our Privacy Policy, our Data Processing Addendum, and — if your plan or use case applies — any Business Associate Agreement (BAA) or Master Services Agreement (MSA) countersigned with your organization.
If you are agreeing on behalf of a company, you represent that you are authorized to bind that company to these Terms.
§ 02
Description of service
Humane AI (“we,” “us,” “our”) operates a behavioral intelligence layer that sits between your application and one or more Large Language Models. The Service includes the hosted API, SDKs (Python, TypeScript, and REST), the web dashboard, the MemPalace memory store, the Policy, Safety, and Proactive Triggers engines, A/B experiment tooling, and any related documentation.
The Service is offered across plan tiers — Community, Starter, Growth, and Scale — plus custom Enterprise arrangements. The features available to you depend on your active plan as shown on the pricing page and in your dashboard.
§ 03
Your account
You are responsible for keeping your account credentials, API keys, and cookies confidential. Credentials issued to an individual may not be shared; credentials issued to an organization (via Team Invites) are auditable per-member.
Tell us immediately if you suspect unauthorized access. We will not be liable for losses arising from unauthorized use of credentials that were not promptly reported. We may suspend or reset credentials if we detect likely compromise.
§ 04
Acceptable use
You agree not to use the Service to:
- Build or operate a competing behavioral intelligence platform by scraping, reverse- engineering, or benchmarking the Service (internal quality benchmarking is fine).
- Process personal data of a child under 13 (or 16 in the EU) as an end user, unless you have obtained verifiable parental consent and notified us in writing.
- Attempt to bypass rate limits, authentication, tenant isolation, or other access controls, or probe vulnerabilities outside the scope of our responsible-disclosure program (see Security).
- Send us content that you do not have the rights to process, or content that violates applicable laws — including CSAM, non-consensual intimate imagery, or material that promotes self-harm or violence.
- Use the Service to generate disinformation, political advertising without disclosure, spam, automated harassment, or targeted impersonation.
- Use downstream LLM providers in ways that violate their own acceptable-use policies. When you route a call through Humane AI to (for example) OpenAI, OpenAI's usage policies still apply to your content.
§ 05
Your data, your content
You retain ownership of the content you or your end users submit to Humane AI (“Customer Data”). You grant us a limited, non-exclusive, royalty-free license to process Customer Data solely to operate and improve the Service for you, consistent with our Privacy Policy and Data Processing Addendum.
We do not train our own foundation models on your Customer Data, and we do not pass Customer Data to third-party LLM providers beyond what is strictly required to fulfil your request. If you route a call through us to OpenAI or Anthropic, the prompt goes to them; derived behavioral signals stay with us.
You may export Customer Data at any time via the dashboard or the GET /api/privacy/export/{external_id} endpoint, and you may delete it via DELETE /api/privacy/erase/{external_id}. We will delete Customer Data within 30 days of account termination unless you ask us to retain it for a specific regulatory reason.
§ 06
API keys & rate limits
API keys are prefixed sk-* and are scoped to your organization. Rate limits vary by plan — see the limits advertised on /pricing and the X-RateLimit-Remaining response header on every request. Burst traffic that exceeds 20× your plan's sustained ceiling may be throttled or temporarily 429'd to protect multi-tenant stability.
Idempotency keys (Idempotency-Key header) are supported on mutating endpoints and are safe to retry for 24 hours.
§ 07
Fees & billing
Paid plans are billed monthly or annually in advance through Stripe. Included usage quotas reset on the first day of each billing period. Overage billing, if any, is disclosed on the pricing page and in your dashboard; we will notify you by email when you reach 80% and 100% of your included quota.
Fees are non-refundable except where required by law or explicitly stated in a signed MSA. Downgrades take effect at the end of the current billing period, not immediately, to avoid surprise loss of access.
Taxes (GST / VAT / sales tax, where applicable) are added at checkout based on your billing address.
§ 08
Intellectual property
We retain all rights, title, and interest in the Service, including the source code, engines, ML artifacts, documentation, and trademarks. Your license to use the Service is limited to what these Terms and your active plan authorize.
The Community tier's open-source components are separately licensed under the license files distributed with the corresponding code repositories.
You grant us permission to use your name and logo to identify you as a customer on our website and sales materials. You can opt out of this by emailing legal@humaneai.vaarak.com.
§ 09
Warranties & disclaimers
The Service is provided “AS IS” and “AS AVAILABLE.” Except as explicitly set out in a signed MSA, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
Humane AI augments LLM calls with behavioral context; it does not guarantee specific LLM outputs. We do not warrant that the underlying LLM providers will produce accurate, safe, or non-infringing content. You are responsible for evaluating outputs before acting on them — especially in healthcare, legal, financial, or safety- critical contexts.
§ 10
Limitation of liability
To the maximum extent permitted by law: our total aggregate liability arising out of or related to these Terms or the Service is limited to the greater of (a) the fees you paid to us in the twelve months preceding the claim, or (b) USD 1,000.
Neither party will be liable for indirect, incidental, special, consequential, or punitive damages — including lost profits, lost revenue, or lost data — even if advised of the possibility. These limitations do not apply to gross negligence, willful misconduct, or indemnification obligations, or where the applicable law does not allow their exclusion.
§ 11
Indemnification
You will indemnify and defend us against any third-party claim arising out of your Customer Data, your breach of these Terms, or your violation of applicable law. We will indemnify and defend you against any third-party claim alleging that the Service (as provided by us and used within these Terms) infringes that third party's intellectual property rights, subject to the limits in Section 10.
§ 12
Termination
You may cancel at any time from the billing page. We may suspend or terminate the Service if you materially breach these Terms and fail to cure within 15 days of written notice, or immediately if the breach creates a security or compliance risk.
Sections that by their nature should survive termination — including intellectual property, indemnification, limitation of liability, and governing law — survive.
§ 13
Governing law
These Terms are governed by the laws of India, without regard to conflict-of-laws rules. Any dispute that cannot be resolved informally will be brought exclusively in the courts of Bengaluru, Karnataka — except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
§ 14
Changes to these terms
We may update these Terms from time to time. Material changes will be announced by email and in the dashboard at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance.
